Compliance Associate

(English and Dutch speaking; any other language would be an advantage, French is an added value)

Profile

You have had 2-5 years’ experience in corporate secretarial and or corporate administration with a fiduciary (Must), law firm or corporate department in the Netherlands.

Responsibilities (including but are not limited to):

Acquisition & Sales Support:
 Preparing and tracking legal documentation relating to corporate administration;
 Support compliance team with printing, preparing and getting documents signed;
 Organize the compliance related board meetings;
 Provide directors with the necessary information packages for the above;
 Track and monitor the accuracy of the legal documents (legislations, signature, date, corporate details etc);
 Provide ad hoc legal and compliance information;
 Ensure organised saving, filing and scanning of all documents;
 Coordinating signatures on corporate documents;
 Liaising with banks, administrations, notary, law firms, ministry of foreign affairs and our Luxembourg office;
 Ensuring the accuracy of the Database by constantly updating the information when available;
 Organisation of the regular board meetings and annual general meetings if required;
 Gathering, preparing, executing and distributing auditors’ requests.

Education and Skills:

Total proficiency with MS Office standard applications;
Fluent in English and Dutch; any other language would be an advantage (French is an added value);
Experience with the Dutch Chamber of Commerce (KvK);
Experience convening board meetings and drafting related documentation (minutes, proxies, convening notices, powers of attorney etc.);
Experience in drafting/reviewing of contracts/resolutions/agreements and other legal and corporate documents;
Experience filing annual accounts in Netherlands;
Experience working with and maintaining strong links with auditors, lawyers, notaries and service providers.
